These Terms of Service govern your access to and use of the Keyseason platform, website, and related services. By creating an account, listing a property, or booking a Stay through Keyseason, you agree to be bound by these terms in full.

Please read these terms carefully. These Terms of Service constitute a legally binding agreement between you and RealRobin, Inc. If you do not agree to these terms, you may not use the Keyseason platform. These terms apply to all users, including property Owners and Renters.
RealRobin, Inc. ("RealRobin," "we," "us," or "our") operates Keyseason, an online marketplace platform that connects property owners ("Owners") with individuals seeking mid-term residential accommodations ("Renters") across the United States. Keyseason provides the technology, tools, and infrastructure that facilitate listings, stays, payments, and communications between Owners and Renters.
Keyseason is not a real estate broker, property manager, landlord, or tenant. Keyseason does not own, manage, control, or operate any of the properties listed on the platform. All rental arrangements are entered into directly between Owners and Renters and are governed by the Keyseason Rental Agreement, which is incorporated by reference into every Stay confirmed through the platform.
By accessing or using the Keyseason platform — including creating an account, listing a property, requesting or confirming a Stay, or making or receiving a payment — you confirm that you have read, understood, and agree to be bound by these Terms of Service and all policies incorporated herein, including the Keyseason Rental Agreement and Privacy Policy.
If you are using the platform on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind that entity to these terms, and "you" refers to both you and that entity.
You must be at least 18 years of age to use the Keyseason platform. By using the platform, you represent that you meet this age requirement. Keyseason reserves the right to request proof of age at any time.
Use of the platform following any update to these Terms constitutes acceptance of the revised Terms. If you do not agree to an update, you must stop using the platform and may close your account.
The following terms have the meanings set out below when used throughout these Terms of Service:
To access the full features of the Keyseason platform, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated at all times.
Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify Keyseason immediately at [email protected] if you suspect unauthorized access to your account. Keyseason is not liable for any loss or damage arising from unauthorized account access resulting from your failure to maintain credential security.
One Account Per Person: Each individual or entity may maintain only one active account on the platform. Creating multiple accounts to circumvent suspension, restrictions, or platform policies is strictly prohibited and may result in permanent removal from the platform.
Account Accuracy: Providing false, misleading, or fraudulent information during registration or at any point during your use of the platform is grounds for immediate account termination and may be referred to appropriate law enforcement authorities.
Keyseason requires identity and Know Your Customer (KYC) verification for all Users prior to listing a property or confirming a Stay. Verification is conducted in accordance with the requirements of Stripe, Inc., Keyseason's payment processing partner, and is intended to promote trust and safety on the platform and to comply with applicable financial regulations.
Verification Required: Stays cannot be confirmed and payouts cannot be processed until identity verification is completed. Keyseason may suspend or restrict access to any account that has not completed verification or where verification information is found to be inaccurate.
Verification Process: As part of the Stripe-powered KYC process, Users will be required to provide:
Third-Party Processing: Identity and KYC verification is processed by Stripe, Inc. on behalf of Keyseason. By submitting verification materials, you consent to Keyseason sharing your information with Stripe for this purpose, subject to Stripe's Privacy Policy and Terms of Service. Keyseason does not store raw identity documents beyond the period required for verification processing.
Verification Is Not a Guarantee: Completion of the identity verification process indicates that a User has submitted documentation that passed Stripe's verification requirements at the time of submission. It does not constitute a background check, criminal history check, or an endorsement by Keyseason of any User's character, reliability, or suitability as an Owner or Renter. Keyseason makes no representations as to the accuracy of any verified information beyond the scope of the verification process itself.
Re-Verification: Keyseason reserves the right to require re-verification at any time, including following a change in account information, a reported incident, or a significant period of account inactivity.
Keyseason operates solely as a technology marketplace that facilitates connections between Owners and Renters. Keyseason does not own, manage, inspect, control, or maintain any of the properties listed on the platform. Keyseason is not a party to the rental contract between an Owner and a Renter.
No Agency Relationship: Nothing in these Terms creates an employment, partnership, joint venture, franchise, or agency relationship between Keyseason and any User. Owners and Renters act as independent parties to their own rental arrangements.
Platform Services: Keyseason provides the following services to facilitate rental transactions:
No Endorsement: Keyseason does not endorse any listing, Owner, or Renter. The appearance of a listing on the platform does not constitute a representation by Keyseason that the property is safe, legal to rent, accurately described, or suitable for any particular purpose.
No Control Over Conduct: Keyseason does not control the conduct of Owners or Renters before, during, or after any Stay. Owners and Renters are solely responsible for their own actions and compliance with applicable law.
By listing a property on Keyseason, Owners agree to the following obligations:
Accurate Listings: All listing information — including property description, photographs, amenities, occupancy limits, house rules, cancellation policy, and pricing — must be accurate, complete, and kept up to date. Owners must not use misleading, deceptive, or fraudulent descriptions or images.
Legal Compliance: Owners are solely responsible for ensuring that their listing and rental activity complies with all applicable federal, state, and local laws, including landlord-tenant law, fair housing law, mid-term rental regulations, zoning ordinances, homeowner or condominium association rules, and any required permits or licenses. Keyseason does not verify regulatory compliance and assumes no liability for an Owner's failure to comply.
Habitability: Owners must ensure that the property is in a safe, clean, and habitable condition at the commencement of every tenancy and throughout its duration, as required by applicable law.
Stay Integrity: Owners must honor confirmed Stays. Cancelling a confirmed Stay, except for verified Force Majeure events, may result in financial penalties, restrictions on listing visibility, and account suspension.
Taxes: Owners are solely responsible for determining, collecting, reporting, and remitting all applicable taxes on rental income, including local occupancy taxes, sales taxes, and income taxes. Keyseason may collect and remit certain transactional taxes where required by law; any such collection will be disclosed in the Stay Confirmation.
Insurance: Owners are strongly encouraged to maintain appropriate property and liability insurance coverage for mid-term rental activity. Keyseason does not provide property insurance and is not liable for damage to the property arising from a Renter's stay.
By booking a Stay through Keyseason, Renters agree to the following obligations:
Accurate Information: Renters must provide truthful and accurate information in their Stay request, including the identity of all intended occupants and the intended use of the property.
Residential Use Only: Renters must use the property solely as a private residential dwelling and for no other purpose — including commercial use, subletting, or hosting of commercial events — without the Owner's prior written consent submitted through the Keyseason platform. Any use prohibited by the Rental Agreement or the listing rules is not permitted regardless of consent.
Compliance with Rental Agreement: By confirming a Stay, the Renter agrees to be bound by the Keyseason Rental Agreement and all listing-specific rules set by the Owner. Renters are responsible for ensuring that all occupants and guests comply with these terms.
Care of Property: Renters must treat the property and its contents with reasonable care, report damage or maintenance issues promptly through the platform, and return the property in the same condition as received, subject to normal wear and tear.
Payment Obligations: Renters are responsible for paying rent on time through the Keyseason platform and for all other costs associated with their tenancy as set out in the Stay Confirmation and Rental Agreement.
Legal Compliance: Renters must comply with all applicable laws during their occupancy, including local noise ordinances, waste disposal requirements, and pet regulations. Renters may not engage in any illegal activity at or related to the property.
How Stays Work: A Renter submits a Stay request through the platform for a specific property and period. The Owner may accept or decline the request. A Stay is confirmed when the Owner accepts the request and the Renter's payment is successfully processed. A Stay Confirmation is then issued through the platform to both parties.
Binding Rental Agreement: Every confirmed Stay automatically incorporates the Keyseason Rental Agreement by reference. By confirming a Stay — whether as Owner or Renter — both parties agree to be bound by the Rental Agreement without any further signature or action required. The Rental Agreement is available at all times on the Keyseason platform.
Month-to-Month Tenancy: All Keyseason Stays establish a month-to-month tenancy with a minimum stay of one calendar month. The Stay Confirmation specifies the Move-In Date. The tenancy continues on a rolling monthly basis unless terminated by either party with one calendar month's written notice through the platform, as set out in the Rental Agreement.
Stay Modifications: Any modification to a confirmed Stay — including changes to the Move-In Date, Move-Out Date, or rental amount — must be agreed upon by both Owner and Renter in writing through the platform. Keyseason is not responsible for modifications agreed outside the platform.
Communication: All material communications between Owners and Renters relating to a Stay — including maintenance requests, notices, and disputes — should be conducted through the Keyseason platform messaging system to ensure a documented record. Keyseason cannot support disputes based solely on communications that occurred outside the platform.
Keyseason processes all payments between Renters and Owners through Stripe, Inc. All transactions must be conducted through the Keyseason platform. Payments arranged or made outside the platform are not covered by Keyseason's policies, dispute resolution process, or cancellation protections.
Platform Fees: Keyseason charges Platform Fees to both Owners and Renters related to Stays and payments processed through the Platform. Current fee types and bases are summarized below.

Keyseason reserves the right to introduce or update fees at any time with reasonable advance notice. Changes to fees will not apply to Stays already confirmed prior to the effective date of the change.
Rent Collection: Monthly rent is collected automatically from the Renter's payment method on file on the same calendar day each month as the Move-In Date. It is the Renter's responsibility to ensure that a valid payment method is maintained on their account at all times.
Security Deposits: Where a security deposit is required by an Owner, the deposit amount is collected at the time of the Stay confirmation and held by Keyseason on behalf of the Owner, subject to applicable state law governing deposit holding requirements. Keyseason's handling of security deposits complies with applicable state landlord-tenant law, which governs permissible uses, return timelines, and itemization requirements.
Owner Payouts: Keyseason disburses rent payments to Owners following successful monthly rent collection, subject to the following:
Failed Payments: If a Renter's payment fails, Keyseason will notify the Renter and attempt to collect payment within the grace period specified in the Rental Agreement. A payment that remains unsuccessful for more than five (5) calendar days from the due date may trigger automatic termination of the tenancy in accordance with the Rental Agreement.
Currency & Taxes: All transactions are conducted in US Dollars. Keyseason may collect and remit applicable occupancy taxes, sales taxes, or other transactional taxes where required by law. Owners remain solely responsible for income taxes and any other taxes on their rental income not collected by Keyseason.
Payment Processing Surcharges: Card payments may include a payment processing surcharge that is passed through from Keyseason's third-party payment processor. The applicable surcharge is calculated as a percentage of the charged amount and is disclosed at the time of payment. Bank account (ACH) payments do not incur this surcharge. Processing surcharges are not Platform Fees.
⚠ Off-Platform Payments Prohibited: Requesting or accepting payment outside the Keyseason platform — including by cash, wire transfer, check, or any other method — is a violation of these Terms and may result in immediate account suspension. Off-platform payments are not protected by Keyseason's cancellation policy, dispute resolution process, or any other platform guarantee.
The following are strictly prohibited on the Keyseason platform. Violation of any prohibition below may result in immediate listing removal, account suspension or permanent termination, forfeiture of outstanding payouts, and referral to law enforcement where applicable.

Reporting Violations: Users who believe a listing or another user has violated these Terms are encouraged to report the violation through the platform's reporting tools or by contacting Keyseason at [email protected]. Keyseason will investigate reports in good faith and take appropriate action.
Cancellations before the Move-In Date are governed by the cancellation policy selected by the Owner for each listing — Flexible, Moderate, or Strict — as described in full in the Keyseason Rental Agreement, which is incorporated herein by reference.
Cancellations after the Move-In Date are treated as early termination of the tenancy and are governed by the termination provisions of the Rental Agreement, which require one (1) calendar month's written notice through the platform.
Owner Cancellations: Owners who cancel a confirmed Stay prior to the Move-In Date without a verified extenuating circumstance are required to provide the Renter with a full refund of all amounts paid. Keyseason may additionally apply a relocation credit to the Renter's account and impose penalties on the Owner's account, including reduced listing visibility or temporary suspension.
Force Majeure: In the event of a verified Force Majeure event — including natural disasters, government-declared emergencies, or other extraordinary circumstances beyond a party's reasonable control — refund outcomes will be determined by Keyseason at its reasonable discretion and may differ from the standard cancellation schedules. Users seeking Force Majeure treatment must submit a request with supporting documentation through the platform.
Refund Processing: Approved refunds are processed within ten (10) business days of cancellation confirmation through the platform and are returned to the original payment method. Renter Platform Fees are refunded in accordance with the Keyseason Cancellation Policy. Owner Platform Fees are non-refundable except as required by applicable law or by Keyseason's policies. Payment processing surcharges imposed by third-party payment processors are non-refundable.
Disputes Regarding Refunds: Disputes about refunds or cancellation outcomes should first be raised with Keyseason's support team through the platform. Keyseason's decision on disputed refunds is final with respect to platform-held funds, subject to applicable law.
Keyseason's Intellectual Property: The Keyseason platform — including its name, logo, design, software, algorithms, databases, and all proprietary content — is the exclusive property of RealRobin, Inc. and is protected by United States and international copyright, trademark, patent, and trade secret law. Nothing in these Terms grants you any ownership interest in Keyseason's or RealRobin's intellectual property.
Limited License to Use the Platform: Keyseason grants you a limited, non-exclusive, non-transferable, revocable license to access and use the platform solely for its intended purpose — listing, discovering, booking, and managing mid-term residential rentals — in accordance with these Terms. You may not reproduce, distribute, modify, create derivative works from, publicly display, or commercially exploit any part of the platform without Keyseason's prior written consent.
User Content: By uploading, posting, or submitting any Content to the platform — including listing photographs, descriptions, and communications — you grant RealRobin, Inc. a worldwide, royalty-free, non-exclusive, sublicensable license to use, reproduce, display, distribute, and adapt that Content for the purpose of operating, improving, and promoting the platform. You retain ownership of your Content and may remove it by deleting your listing or account, subject to any retention obligations required by law or these Terms.
Content Standards: You represent and warrant that any Content you submit is your original work or that you have all necessary rights to submit it, that it does not infringe any third party's intellectual property rights, and that it complies with all applicable laws. Keyseason reserves the right to remove any Content that violates these standards without prior notice.
Feedback: If you submit suggestions, ideas, or feedback about the platform to Keyseason, you grant RealRobin, Inc. the right to use that feedback freely and without compensation or attribution.
RealRobin, Inc. collects, uses, stores, and shares personal information in connection with the operation of the Keyseason platform. All such data practices are governed by the Keyseason Privacy Policy, which is incorporated into these Terms by reference and available on the platform.
By creating an account or using the Keyseason platform, you acknowledge that you have read the Privacy Policy and consent to the collection and use of your personal information as described therein. If you do not agree to the Privacy Policy, you may not use the platform.

Platform Provided "As Is": The Keyseason platform is provided on an "as is" and "as available" basis without warranties of any kind, express or implied. To the fullest extent permitted by applicable law, RealRobin, Inc. disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
No Warranty Regarding Listings or Users: Keyseason makes no representations or warranties regarding the accuracy, completeness, legality, safety, or suitability of any listing, property, Owner, or Renter. Keyseason does not verify whether listings comply with local regulations, whether properties match their descriptions, or whether Users are who they claim to be beyond the scope of the identity verification process described in Section 5.
Service Interruptions: Keyseason does not warrant that the platform will be available at all times, error-free, or free of viruses or other harmful components. Keyseason may suspend or modify the platform at any time without notice for maintenance, upgrades, or other operational reasons.
Third-Party Services: The platform integrates with third-party services, including Stripe for payment processing and identity verification. Keyseason does not control these services and is not responsible for their availability, accuracy, or terms.
To the fullest extent permitted by applicable law, RealRobin, Inc. — including its officers, directors, employees, agents, and affiliates — shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages arising out of or in connection with your use of the platform or any rental arrangement facilitated through it, including but not limited to:
Cap on Liability: To the extent that any liability of RealRobin, Inc. cannot be excluded under applicable law, RealRobin's total aggregate liability to any User arising from or related to these Terms or the platform shall not exceed the greater of: (a) the total Platform Fees paid by that User to Keyseason in the twelve (12) months preceding the claim; or (b) one hundred US dollars ($100).
Some jurisdictions do not permit the exclusion or limitation of certain types of damages. In such jurisdictions, the limitations above will apply only to the fullest extent permitted by law.
You agree to indemnify, defend, and hold harmless RealRobin, Inc. and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
Keyseason reserves the right to assume exclusive control of the defense of any matter subject to indemnification, in which case you agree to cooperate fully with Keyseason's defense.
By Keyseason: Keyseason may suspend or permanently terminate your account, remove any listing, or restrict your access to platform features at any time, with or without notice, for any of the following reasons:
By You: You may close your Keyseason account at any time by contacting Keyseason at [email protected]. Account closure does not affect any obligations arising from confirmed Stays that remain active at the time of closure. You must resolve all outstanding Stays, financial obligations, and disputes before an account can be fully closed.
Effect of Termination: Upon termination of your account, your license to use the platform ceases immediately. RealRobin, Inc. may retain your account information and Content for as long as required by law or legitimate business purposes. Sections of these Terms that by their nature should survive termination — including Sections 13, 15, 16, 17, and 19 — shall continue to apply after termination.
Active Stays: If an Owner's account is terminated while a Renter is actively occupying a property under a confirmed Stay, Keyseason will use commercially reasonable efforts to assist the Renter in finding alternative accommodation and will process any applicable refunds in accordance with the cancellation policy.
Governing Law: These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict-of-law principles, except that landlord-tenant matters relating to specific Properties shall be governed by the law of the state where the Property is located.
Informal Resolution: Before initiating any formal dispute process, you agree to contact Keyseason at [email protected] and attempt to resolve the dispute informally. Keyseason will use good faith efforts to resolve your concern within thirty (30) days of receiving your notice.
Disputes Between Users: Disputes between Owners and Renters arising from a specific Stay should first be submitted to Keyseason's support team through the platform. Keyseason will provide good faith mediation support. Keyseason's determination regarding platform-held funds is final with respect to those funds, but does not preclude either party from pursuing legal remedies.
Binding Arbitration: Subject to the exceptions below, any dispute between you and RealRobin, Inc. arising out of or relating to these Terms, the platform, or any Stay that cannot be resolved informally shall be settled by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration shall take place in the county of the User's primary residence, or remotely if agreed. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
Exceptions to Arbitration: Either party may seek emergency injunctive or other equitable relief in a court of competent jurisdiction where necessary to prevent irreparable harm. Claims related to intellectual property infringement are also excluded from mandatory arbitration.
Class Action Waiver: To the fullest extent permitted by applicable law, you waive any right to bring or participate in any class action, collective action, or representative proceeding against RealRobin, Inc. All disputes must be brought on an individual basis.
Time Limit: Any claim against RealRobin, Inc. must be brought within one (1) year of the date on which the claim arose, or it shall be permanently barred.
RealRobin, Inc. reserves the right to modify these Terms of Service at any time. When we make material changes, we will notify Users by email to the address on file, by an in-platform notification, or by updating the "Effective Date" at the top of this page — or a combination of these methods.
Changes take effect on the date stated in the notice. Continued use of the platform after the effective date of any update constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the platform and close your account.
Changes to fees will not apply retroactively to confirmed Stays. All other changes apply to your ongoing and future use of the platform from the effective date.
Entire Agreement: These Terms, together with the Keyseason Privacy Policy and Rental Agreement, constitute the entire agreement between you and RealRobin, Inc. with respect to the platform and supersede all prior agreements, representations, and understandings.
Severability: If any provision of these Terms is found to be unenforceable or invalid, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
Waiver: RealRobin's failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver must be in writing and signed by RealRobin, Inc. to be effective.
No Assignment: You may not assign or transfer your rights or obligations under these Terms to any third party without Keyseason's prior written consent. RealRobin, Inc. may assign its rights and obligations freely, including in connection with a merger, acquisition, or sale of assets, provided that the assignee assumes all obligations under these Terms.
Notices: Formal legal notices to RealRobin, Inc. and all general inquiries should be directed to [email protected]. Notices to Users will be delivered through the platform or to the email address on file.
Force Majeure: RealRobin, Inc. shall not be liable for any delay or failure to perform its obligations under these Terms resulting from events beyond its reasonable control, including natural disasters, government actions, internet outages, or third-party service failures.
Headings: Section headings are for convenience only and do not affect the interpretation of these Terms.
